The Webinar consists of three separate Sessions, each 3 hours long from 14:00 to 17:00 over three non-consecutive days, a total of 9 hours. Attendance of all three Sessions of the Webinar is compulsory. Users who need to become familiar with the basics of any construction contract will gain that basic knowledge at this Webinar. Of all the standard forms of contract from the various suites of standard forms of construction contract permitted by legislation for state projects, the GCC 2015 is the most widely used by municipalities, water boards, state agencies and many other organs of state and the private sector. Attendance at this Webinar on the GCC 2015 will provide a Delegate not only with the fundamental knowledge of construction contracts regarding payment, time, risks, quality, termination, claims and disputes during construction, but also with insight of other contractual mechanisms such as subcontracting, completion, defects, penalties, variations, escalation and the like. The various roles of the contracting parties are explained, including the roles of the Contractor, the Employer and the Employer’s Agent. Case law (contractual disputes that ended in court) is covered. The GCC 2015 glossy paper publication is not included in the course material. Webinar Session 1: Overview: The introduction covers the program, introduction to the presenter, house rules, and package contents. The first 3 Main Clauses of GCC 2015 are then presented in separate presentations: Clause 1: Definitions, Clause 2: Basis of Contract and Clause 3: Employer’s Agent. Outcomes:
Clause 1 covers the fundamental terms and word forms of the contract, including definitions of “Due Completion Date”, “Practical Completion” and many more. Clause 2 covers the four ground rules of modern construction contracts and traces early origins to 1800BC. How case law shapes new clauses. Clause 3 covers the Employer’s Agent and his role, qualifications, mandate and authority. It is shown how all 6 of the built environment professions in South Africa are governed by the CBE Act and how the Professional Services Agreement between the Employer and the Employer’s agent is linked to the GCC 2015 construction contract. Webinar Session 2: Overview: Each GCC 2015 clause is covered in a separate presentation: Clause 4: The Contractor’s General Obligations, Clause 5: Time and related matters, Clause 6: Payment and related matters. Outcomes: Clause 4 covers the Contractor and his privileges, rights and duties. It is shown from whom the Contractor can accept instructions, compliance with legislation, subcontracting, access to the site, the Contractor’s equipment and other privileges, rights and obligations of the Contractor under the GCC 2015 construction contract. Clause 5 covers time aspects of the GCC 2015. Because time is of the essence in any construction contract, the time requirements of the contract are covered. These requirements include the construction duration and time to achieve completion, when the Employer can occupy the Works before full completion of the contract, how specified durations are used to calculate specific milestone dates of the contract, Special Non-Working Days which include the annual Builders Break, public holidays, election days, national days of mourning and other special or cultural special non-working days specified by the Employer. Also covered are extensions of time, time bars, points in time of defined milestones in the Contract, and events which trigger various contractual mechanisms such as penalties, escalation, defects liability period, latent defects, and the like. Webinar Session 3: Overview: Clause 7: Quality and Related Matters Clause 8: Risks and Related Matters Clause 9: Termination Clause 10: Claims and Disputes Outcomes: Clause 7: Quality and Related Matters. Covers the Contractor’s workmanship and other aspects of quality under the GCC 2015 construction contract. Clause 8: Risks and Related Matters. Covers excepted risks that are carried by the Employer. Includes risks that are unforeseeable such as tsunamis, earthquakes and the like. Clause 9: Termination A necessary contractual mechanism. Only used by one party when the other party commits breach of contract, or when the parties mutually agree to terminate the contract, or when due to other reasons. Clause Claims and Disputes:. Covers the procedures for claims and higher forms of formal dispute resolution such as Amicable Settlement, Dispute Adjudication, Arbitration and Litigation. Presenter: Benti Czanik Benti was born in Paarl, matriculated in Centurion, graduated at Stellenbosch University in 1979, registered with ECSA as a Pr Eng in 1989, and was employed by two large consulting engineering firms until 2018. Then he became a sole practitioner specialising in advisory services in contractual affairs until the present. He holds the Certificate in Arbitration of the Association of Arbitrators (Southern Africa) NPC. Benti began representing CESA at the SABS from 2012 and became the chairperson of the SAICE Contractual Affairs Subcommittee 2018-2021. During the eighties he was involved in the design of various wastewater treatment works including Olifantsvlei (Johannesburg) and Zeekoegat (Pretoria) and in many other large projects. He became a FIDIC and GCC contracts specialist in 1989. Benti has lectured at Stellenbosch University as a guest lecturer. He represented CESA and SAICE in various capacities at the SABS and CIDB and was awarded SAICE Fellowship 2019 for contributions to and services to the Profession. Benti has presented CPD Seminars, Workshops and Webinars on Construction procurement, on the SAICE Suite of GCC standard forms of contract, on the CESA suite of standard Professional Services Agreements from 2016 through 2021.
